NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT IMPROVE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.
These are the official rules (the “Official Rules”) that govern the relationship between you, the entrant (“Entrant,” “you”, “your(s)”) and the Sponsor in relation to the Promotion (both defined below). A copy of the Official Rules can be found at Delinea.com/contests/rsacrules24 (the "Website").
Eligibility
This Peel to Win Promotion (“Promotion”) is open to eligible individuals attending the RSA Conference (the “Conference”) in San Francisco, CA between May 6-9, 2024, who are legal residents where the Promotion is legal, not prohibited, not restricted, and who are at least 18 years of age or older. This Promotion is subject to all applicable United States federal, state, and local laws and is void where prohibited by law.
By participating in the Promotion, each Entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Sponsor, which shall be final and binding in all respects. Sponsor is responsible for the collection, submission or processing of Entries and the overall administration of the Promotion. Entrants should contact Sponsor with any questions, comments or problems related to the Promotion. Sponsor may be reached by email at tradeshows@delinea.com during the Promotion Period.
The Sponsor assumes that by entering the Promotion you have legal capacity to enter the Promotion and agree to the Official Rules (i.e. that you are of sufficient age and mental capacity and are entitled to be legally bound in contract).
You do not have to be a Delinea customer to enter. The Promotion is open to anyone who meets the eligibility criteria and submits a complete and valid entry.
Sponsorship
The Promotion sponsor is Delinea Inc. (“Sponsor”), located at 221 Main Street, Suite #1300, San Francisco, CA 94105. Sponsor, and their respective parents, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies and each of their respective officers, directors and employees (the “Promotion Entities”), are ineligible to enter the Promotion or win a prize. Household Members and Immediate Family Members of such individuals are also not eligible to enter or win. “Household Members” shall mean those people who share the same residence at least three months a year. “Immediate Family Members” shall mean parents, step-parents, legal guardians, children, step-children, siblings, step-siblings, or spouses. This Promotion is subject to all applicable federal, state and local laws and regulations and is void where prohibited or restricted by law. Sponsor will conduct the Promotion substantially as described in these Official Rules.
Entry Period
This Promotion begins on May 6, 2024 at 4:30PM (U.S. Pacific time) and ends on May 9, 2024 at 12:45PM (U.S. Pacific time) (“Entry Period”). Only entries received during the Entry Period will be eligible to win.
How to Enter
To enter the Promotion, eligible participants must have their Conference ID badge scanned at the Sponsor’s booth (Booth #N-6345) at the Conference and play the Sponsor’s peel to win game there. Individuals who play the peel to win game and who win that game by peeling the card to reveal a “Finalist” winner line (each a “Finalist” and collectively, the “Finalists”) will be entered into a drawing (“Final Drawing”) where ten Grand Prize winners will be chosen at random (each a “Winner”).
While the total number of Finalists cannot be determined exactly because the exact number of peel to win game winners cannot be known in advance, it is estimated that there will be between 400 and 1000 participants in the Final Drawing.
Limitations on Entries
ONLY ONE ENTRY PER PERSON IN THE PROMOTION. No third-party entry or entry through any sweepstakes service is permitted. Any person who attempts or otherwise encourages the entry of multiple or false contact information under multiple identities or uses any device or artifice to enter or encourage multiple or false entries, as determined by Sponsor, will be disqualified. Use of robotic or automated entry devices is strictly prohibited.
Grand Prize
Winner may select the Grand Prize (as described below). Ten Grand Prizes will be awarded in the Promotion. The Grand Prize consists of one of the following, selected by the Winner, Apple Airpods, Apple Watch, Nintendo Switch, PlayStation 5, Bose Headphones, Go Pro, and Ray Ban Meta Sunglasses. The Winner agrees to accept the Grand Prize “as is” and “where is,” and entrants hereby acknowledge that Sponsor is not, in any manner, responsible or liable for any warranty, representation, or guarantee in connection with the Grand Prize, including, without limitation, any warranty regarding its condition, appearance, safety or performance. The value of the Grand Prizes range from $200-$500. Sponsor reserves the right to substitute any Promotion prize with another prize of equal or greater value. Prize consists of only those items specifically stated as part of the prize. Sponsor will not replace any lost or stolen prize items.
All federal, state and/or local taxes, fees, and surcharges are the sole responsibility of the prize winner.
Winner should consult their own tax advisor regarding any U.S. or non-U.S. tax consequences of accepting any Promotion prize.
The prize may only be redeemed by the Entrant. Failure to comply with these official rules will result in forfeiture of the prize. Sponsor does not assume responsibility for any cancelled, delayed, suspended or rescheduled events.
Drawing
Winner must be present to win. Sponsor will hold the Final Drawing at its Conference Booth #N-6345 at 1:00 PM PST on Thursday, May 9, 2024. Sponsor’s decisions and interpretations on all matters relating to the Promotion and these Official Rules are final and binding. Sponsor reserves the right to disqualify any entrant or winner and may refuse to award the prize to any person who is not eligible or who has violated a rule, gained unfair advantage in the Promotion, or obtained winner status using fraudulent means. If the Winner is found to be ineligible or not in compliance with these Official Rules, the Winner will be disqualified and an alternate Winner will be selected in a separate random drawing amongst the remaining eligible Finalists. No substitution or transfer of a prize is permitted except by Sponsor.
Odds
The odds of winning depend on the number of eligible Promotion participants and Finalists.
WARNING
ANY ATTEMPT BY ANY PERSON, WHETHER OR NOT AN ENTRANT TO DELIBERATELY INTERFERE WITH OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND PURSUE ALL RIGHTS AND REMEDIES AGAINST ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
General Terms
Sponsor is not responsible for lost, late or invalid entries nor for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive entry information by Sponsor or presenter on account of technical problems or traffic congestion on the internet.
Sponsor reserves the right to cancel, terminate, modify, or suspend this Promotion if it is not capable of running it as planned, including for any causes beyond the control of Sponsor which affect administration, security, fairness, integrity, or proper conduct of the Promotion. Sponsor reserves the right to correct typographical errors in any Promotion-related materials.
Sponsor reserves the right, using reasonable discretion based upon these Official Rules, to refuse, disqualify, or withdraw any entry at any time. The Sponsor will not be liable for any injury, damage or loss of any kind arising out of, or in connection with, your participation in the Promotion, handling, and shipment of the Grand Prize after being awarded to the Winner, or use of the Grand Prize.
By participating in the Promotion, participants release and agree to hold harmless Sponsor and its affiliates and its and their respective shareholders. directors, employees, officers, agents, successors and assigns from any and all liability, injury, loss or damage of any kind, including without limitation, personal injury or death, arising from or in connection with participation in the Promotion, or the awarding, receipt, possession, use or misuse of the Grand Prize or with respect to participation in any prize-related activity. By participating in this Promotion, participants agree to be bound by the Official Rules and the decisions of Sponsor, which are final and binding in all respects. By participating in the Promotion, participants agree to indemnify defend and hold harmless Sponsor for the liabilities, injuries, losses, and damages described above, as well for any amounts (including, without limitation, taxes) payable by Winner is connection with Winner’s acceptance of a prize.
EACH ENTRANT UNDERSTANDS AND AGREES THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE OR TERRITORY OF THE UNITED STATES ARE HEREBY EXPRESSLY WAIVED BY HIM/HER. SECTION 1542 READS AS FOLLOWS: “CERTAIN CLAIMS NOT AFFECTED BY A GENERAL RELEASE. A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.
Winner must cooperate in all respects with Sponsor and its designees in connection with the transfer of the Grand Prize.
Except where prohibited by law, by accepting the Grand Prize , Winner hereby grants Sponsor a worldwide, perpetual, royalty-free license to use the Winner’s name, photograph, voice and/or likeness without further authorization, compensation, or remuneration of any kind for advertising, promotion, or other publicity purposes in any and all media, now or hereafter known throughout the world.
By participating in the Promotion, participants agree that any disputes, claims, and causes of action arising out of or connected with the Promotion, or any prize awarded, shall be resolved individually, without resort to any class action and all claims, awards and judgments shall be limited to actual out of pocket costs incurred, including costs associated with participating in the Promotion, but in no event attorneys’ fees. Except where prohibited, all issues and questions concerning the validity, construction, and enforceability of these Official Rules, or the rights and obligations of the participants and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of State of California without giving effect to any choice of law or conflict of law rules. In addition, any dispute relating to the Promotion or these Official Rules shall be brought in the appropriate state or federal court having jurisdiction over the subject matter located in the county of Santa Clara, California. Entrants hereby irrevocably consent to the personal jurisdiction of such courts and waive any claim of forum non conveniens or lack of personal jurisdiction they may have.
NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE OFFICIAL RULES, EXCEPT AS PROHIBITED BY LAW, PROMOTION PARTICIPANTS AGREE THAT: (A) NEITHER SPONSOR NOR ANY OF ITS AFFILIATES WILL BE LIABLE (UNDER STATUTE OR IN CONTRACT, TORT, NEGLIGENCE OR OTHERWISE) FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES IN CONNECTION WITH THE PROMOTION, AND (B) SPONSOR’S AGGREGATE LIABILITY UNDER THESE OFFICIAL RULES AND IN CONNECTION WITH THE PROMOTION IS LIMITED TO US $500.00.

By entering the Promotion, you grant Sponsor permission to share your email address and any other personally identifiable information with the other Promotion Entities for the purpose of administration and prize fulfillment, including use in a publicly available winners list.
Winner’s Name
The name of the Winners will be available after the Final Drawing at 2:00 PM PST Thursday, May 9, 2024, the close of the Promotion. To receive the name of the Winner, where permitted by law, please contact the Sponsor at amanda.grandal@delinea.com.
