 PROMOTION DESCRIPTION:

The “Summer Cyber Chill with Delinea” promotion (“Promotion”) begins on August 20th at 8.00 AM Central European Summer Time ("CEST") and ends on September 3^rd at 11.59 PM CEST (“Promotion Period”).

The sponsor of this Promotion is Delinea Inc., 221 Main Street, Suite 1300, San Francisco, CA 94105 USA (“Sponsor,” “we”, “our”, “us”). By participating in the Promotion, each Entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Sponsor, which shall be final and binding in all respects. Sponsor is responsible for the collection, submission or processing of Entries and the overall administration of the Promotion. Entrants should look solely to Sponsor with any questions, comments or problems related to the Promotion. Sponsor may be reached by email at sam.harper@delinea.com during the Promotion Period.

The Sponsor presumes that by entering the Promotion you have legal capacity to enter the Promotion and agree to the Official Rules (i.e. that you are of sufficient age and mental capacity and are entitled to be legally bound in contract).
 ELIGIBILITY:

Open to legal residents of Andorra, Spain, Portugal, Italy, Vatican, Monaco, San Marino, France, Greece, Malta, Cyprus, and Israel (the “Locations”) who are 18 years or older, who have access to the internet and a valid and active email address. Sponsor, and their respective parents, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies and each of their respective officers, directors and employees (the “Promotion Entities”), are ineligible to enter the Promotion or win a prize. Household Members and Immediate Family Members of such individuals are also not eligible to enter or win. “Household Members” shall mean those people who share the same residence at least three months a year. “Immediate Family Members” shall mean parents, stepparents, legal guardians, children, stepchildren, siblings, stepsiblings, or spouses. This Promotion is subject to all applicable federal, state and local laws and regulations and is void where prohibited or restricted by law.

You do not have to be a Delinea customer to enter. Contest is open to anyone who meets the eligibility criteria and submits a complete and valid entry in accordance with Section 4 below.
PRIZES:

Winners will be selected at random from the valid and eligible entries received during the Promotion Period. Fifteen (15) Entrants will win a “Delinea Summer Kit” valued at €90. All prizes will be mailed to the address provided by the winners within two (2) weeks of receipt of the winner's Prize Acceptance (see Section 6 below).

Prizes cannot be transferred, redeemed for cash or substituted by winner. Sponsor reserves the right in its sole and absolute discretion to award a substitute prize of equal or greater value if a prize described in these Official Rules is unavailable or cannot be awarded, in whole or in part, for any reason. The advertised retail value (“ARV”) of the prize represents Sponsor’s good faith determination. That determination is final and binding and cannot be appealed. If the actual value of the prize turns out to be less than the stated ARV, the difference will not be awarded in cash. Sponsor makes no representation or warranty concerning the appearance, safety or performance of any prize awarded. All prizes are subject to the supplier's terms. Restrictions, conditions, and limitations may apply. Sponsor will not replace any lost or stolen prize items.

The Promotion prize will only be awarded and/or delivered to addresses within the Locations. All federal, state and/or local taxes, fees, and surcharges are the sole responsibility of the prize winner. Failure to comply with the Official Rules will result in forfeiture of the prize.
HOW TO ENTER:
You can enter the Promotion during the Promotion Period online by fully and accurately completing and submitting the entry form, which can be found on the Delinea website at:
Limit one entry per person and the Entrant must use Entrant’s own email address and information for the entry form. For the avoidance of doubt, Entrant may not enter multiple times using multiple accounts. Automated or robotic entries submitted by individuals or organizations will be disqualified. Internet entry must be made by the Entrant. Any attempt by Entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations, logins or any other methods, including, but not limited to, commercial contest/sweepstakes subscription notification and/or entering services, will void Entrant’s entries and that Entrant may be disqualified. Final eligibility for the award of any prize is subject to eligibility verification as set forth below. All entries must be submitted to the Sponsor by the end of the Promotion Period in order to participate. Sponsor’s database clock will be the official timekeeper for this Promotion.
WINNER SELECTION:

The winner(s) of the Promotion will be selected in an electronic random drawing from among all valid and eligible entries received throughout the Promotion Period. The random drawing will be conducted on September 4, 2024, after the Promotion Period by Sponsor or its designated representatives, whose decisions are final. Odds of winning will vary depending on the number of eligible entries received.
WINNER NOTIFICATION:

Eligible prize winners will be notified via the email provided Entrant by September 9, 2024, and must accept the prize within 48 hours of notification by sending a confirmation return email (“Prize Acceptance”).

If the prize notification is returned undeliverable after two (2) attempts in three (3) business days, and/or if we are not in receipt of a winner Prize Acceptance within the timeframe above and/or we have reasonable grounds for believing that a winner has contravened any of these Official Rules, and/or in the event that a winner is disqualified for any other reason, we reserve the right to select an alternate winner.

Sponsor is not responsible for any delay or failure to receive notification for any reason, including inactive email account(s), technical difficulties associated therewith, or a winner’s failure to adequately monitor any email or social media account. Any winner notification not responded to or returned as undeliverable may result in prize forfeiture. The prize winner may be required to sign and return an affidavit of eligibility and release of liability, and a Publicity Release (collectively (the “Prize Claim Documents”). Winners will be sent their gifts within two weeks of receipt of the winner’s Prize Acceptance. No substitution or transfer of a prize is permitted except by Sponsor.
PRIVACY:

Any personal information supplied by you will be subject to the privacy policy of the Sponsor posted at https://delinea.com/privacy-policy. By entering the Promotion, you grant Sponsor permission to share your email address and any other personally identifiable information with the other Promotion Entities for the purpose of administration and prize fulfillment, including use in a publicly available winners list.
RELEASE:
To the extent permitted by applicable law, by receipt of any prize, each winner agrees to release and hold harmless Sponsor and its subsidiaries, affiliates, Promotion Entities, suppliers, distributors, advertising promotion agencies, and prize suppliers, and its parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the promotion or receipt or use or misuse of any prize.
LIMITATION OF LIABILITY:

Sponsor assumes no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Promotion; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, camera, computers or providers utilized in any aspect of the operation of the Promotion; (d) inaccessibility or unavailability of any network or wireless service, the Internet or website or any combination thereof; (e) suspended or discontinued Internet, wireless or landline phone service; or (f) any injury or damage to participant’s or to any other person’s computer or mobile device which may be related to or resulting from any attempt to participate in the Promotion or download of any materials in the Promotion. If, for any reason, the Promotion is not capable of running as planned for reasons which may include without limitation, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, the Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Promotion in whole or in part. In such event, Sponsor shall award any remaining prizes (up to the total ARV as set forth in these Official Rules) in a manner deemed fair and equitable by Sponsor. Sponsor and Released Parties shall not have any further liability to any participant in connection with the Promotion.

If for any reason an Entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Promotion, if it is possible. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these official rules to be available and or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, unawarded, eligible prize claims.
DISPUTES:
Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Northern District of California in San Francisco or the appropriate California State Court located in San Francisco, CA; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this promotion, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these official rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of California without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.
